TERMS OF SERVICE

01. Agreement to Terms

By accessing the VenturelyHub website (venturelyhub.com), submitting a project inquiry, or engaging VenturelyHub Inc. ("VenturelyHub", "we", "our", or "us") for venture building, engineering, design, or advisory services, you ("Client" or "User") agree to be bound by these Terms of Service.

02. Scope of Services & Delivery Models

VenturelyHub operates as an elite product engineering and venture studio firm providing:

• Bespoke Web & Mobile Engineering: Next.js, React, Swift, Kotlin, React Native, and type-safe backend architectures.
• AI & Cognitive Workflows: LLM integrations, fine-tuned agentic models, semantic search, and automation systems.
• UI/UX & Brand Systems: Enterprise design systems, interactive prototypes, and luxury visual identities.
• Startup Acceleration & MVPs: Rapid fixed-scope sprint delivery engineered for venture scale.

Each bespoke engagement is governed by an executed Scope of Work (SOW) or Statement of Deliverables specifying milestones, timelines, and acceptance criteria.

03. Intellectual Property & Code Ownership

We firmly uphold the principle of Code as Capital:

• Custom Deliverables: All custom software source code, database architectures, user interface assets, and brand collateral created specifically for the Client become the sole and exclusive property of the Client upon final payment.
• Open-Source Frameworks: Deliverables may incorporate industry-standard open-source libraries (e.g. Next.js, React, Tailwind CSS, PostgreSQL) governed by their respective permissive licenses (MIT, Apache 2.0).
• Zero Vendor Lock-In: We provide full repository access, deployment manifests, environment keys, and operational documentation with zero proprietary runtime lock-in.

04. Client Obligations & Approvals

To ensure sprint velocity and milestone integrity, Clients agree to:

• Provide clear functional specifications, brand assets, and third-party API credentials in a timely manner.
• Conduct milestone reviews and provide constructive feedback within agreed sprint review windows.
• Maintain appropriate authorization for all third-party materials or data provided to VenturelyHub.

05. Confidentiality & Mutual Non-Disclosure

Both parties agree that all confidential information, business models, algorithms, trade secrets, and non-public materials exchanged during inquiries or engagements shall remain strictly confidential. We will never disclose Client source code or proprietary architecture to any third party.

06. Warranties & Code Quality Guarantee

We warrant that all code authored by VenturelyHub adheres to professional engineering practices, type-safety standards, and agreed security measures. We provide a post-launch stabilization window for any bug fixes directly stemming from agreed sprint scopes.

07. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Karnataka, India. Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith executive mediation, followed if necessary by confidential arbitration under the Indian Arbitration and Conciliation Act or recognized international commercial arbitration venues.
